Article I            NAME

The name of our organization shall be the University of Oklahoma Surgical Society.

Article II         PURPOSE

The purpose of our Society shall be to provide continuing support for the excellence in surgical training that exists in the Department of Surgery at the University of Oklahoma, Oklahoma City Campus.

Article III         MEMBERSHIP

Section 1.            

All individuals who have successfully completed their general surgical training as a Chief Resident in the Department of Surgery at the University of Oklahoma, Oklahoma City Campus, shall be eligible for membership upon the payment of their dues.  These individuals my hold office and have voting privileges.

Section 2.

Associate membership shall be available to all individuals who spend one or more years in training under the aegis of the Department of Surgery at the University of Oklahoma, Oklahoma City Campus.  Such membership shall also be available to current and former faculty of the Department of  Surgery at the University of Oklahoma, Oklahoma City Campus.   These individuals, upon payment of dues, have the privilege to vote but may not hold office.

Article IV         DUES

The membership dues (inclusive of associate dues) shall be determined at each biennial meeting.  Such dues shall be paid to the Society's Secretary/Treasurer in care of the Department of Surgery, University of Oklahoma,  P.O. Box 26307, Oklahoma City, Oklahoma 73126.  (address in 1985).    Current address is Department of Surgery, University of Oklahoma,  P.O. Box 26901, Oklahoma City, Oklahoma 73190. 

Article V         OFFICERS

Section 1.

Officers shall be elected by a majority vote from nominations made at the biennial meeting of the Society beginning in 1985.  Officers to be elected shall include a President, Vice-President/President-Elect, and

Secretary/Treasurer.

Section 2.

Duties of the President shall be those of chief executive officer of the Society, and shall include the scheduling of general meetings.  The duties of the Vice-President/President-Elect shall be to serve as President at the discretion of the President in his/her absence.  The Secretary/Treasurer shall be charged with recording the proceedings of the Society, accepting and accounting for funds of the Society, and reporting these efforts to the Society at each general meeting.  He or she shall also be charged with organizing the mailings of such information as may be necessary to the general membership.  The Secretary/Treasurer must be a resident of the Oklahoma City metropolitan area and his/her functions shall be handled through the Department of Surgery at the University of Oklahoma, Oklahoma City Campus.  The Society shall reimburse the Department for expenses incurred by this service.

Section 3.

The terms of office will be for two consecutive years for President and Vice-President/President-Elect and four consecutive years for the Secretary/Treasurer.  The Vice-President shall be the President-Elect.

Section 4.

The three officers shall constitute an Executive Committee which shall be enpowered to act for the membership in lieu of a general meeting where time dictates such action.

Article VI         MEETINGS 

The Society shall meet biennially, every two years coincident with the G. Rainey Williams Symposium.  Additional meetings will be arranged as deemed appropriate. 

Article VII         AMENDMENTS 

Amendments to the By-Laws of the Society must be submitted in writing to the Secretary/Treasurer, in care of the address of the Department of Surgery, at least 60 days prior to the biennial meeting.  Such proposals shall then be submitted to the general membership for their consideration prior to that meeting.  A simple majority vote of the members present shall be required to incorporate such amendments to the By-Laws.
